Along with electing members of the Board and approving our audited financial statements, CoDev’s members will also be asked to vote on a special resolution (see below) to amend the CoDev Constitution and By-Laws to change board and committee attendance and requirements.
Board Applications
Eligible members who are interested in joining the CoDev Board of Directors are asked to submit the Board Candidate Form, including a statement of your interest to serve on the board that can be distributed to the voting members for their consideration. Statements of Interest need to be received at least 48 hours prior to the board meeting.

Special Resolution of Members – to be voted on by the members at the 2015 Annual General Meeting
MOTION: to amend the CoDev Constitution and By-Laws as follows, to be effective as of the 2015 Annual General Meeting:
Board Attendance Requirements:
a) Board members are required to attend at least 60% of all executive board meetings each electoral year (October to September inclusive) in order to retain their position or to be eligible for re-election. Confirmation of attendance will be based on minutes of board meetings.
b) An incumbent board member mid-way through their two-year term who does not meet the requirements of (a) above, will have their position declared vacant to be filled at the next Annual General Meeting and will not be eligible as a candidate at that year's AGM.
c) An incumbent board member who has completed a two-year term must meet the requirements of (a) above in order to be eligible for re-election.
d) If a board member's absences are the result of a prohibited ground for discrimination listed under the Human Rights Act of British Columbia, the requirements of (a), (b) and (c) above will be waived, provided that the board member can reasonably expect to attend at least 60% of the meeting in the following year.
Committee Participation and Attendance Requirements:
a) In addition to participation at regular board meetings as outlined in the Board Attendance Requirements, board members are required to participate on at least two board committees, at least one of which must be a standing committee.
